By accessing or using Quantvec, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

2. Description of Service

Quantvec is a web-based analytics platform that provides:

• Historical stock market data analysis
• Momentum screening tools
• Statistical percentile rankings
• Multi-timeframe analysis
• Volume confirmation metrics
• Sector relative strength data

IMPORTANT: Quantvec is a descriptive analytics tool, NOT an investment advisory service.

3. Not Investment Advice

YOU ACKNOWLEDGE AND AGREE:

• No Investment Advice: Quantvec does NOT provide investment advice, trading recommendations, or portfolio management services. All information provided is for educational and informational purposes only.
• Descriptive, Not Predictive: Our Service displays historical data and statistical analysis. We do not predict future price movements or guarantee investment performance.
• Your Responsibility: All investment decisions are solely your responsibility. You should conduct your own research and consult with licensed financial professionals before making investment decisions.
• Risk Disclosure: Trading stocks and securities involves substantial risk of loss. You can lose some or all of your invested capital. Past performance does not guarantee future results.
• Not a Registered Advisor: Quantvec and its operators are not registered investment advisors, broker-dealers, or financial planners. We are a software tool provider.

4. User Accounts

4.1 Account Creation

• You must provide accurate, complete, and current information during registration
• You must be at least 18 years old to use this Service
• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activities that occur under your account

4.2 Account Security

• Notify us immediately of any unauthorized use of your account
• We are not liable for any loss or damage from your failure to maintain account security
• You may not share your account credentials with others

4.3 Account Termination

• We reserve the right to terminate or suspend accounts that violate these Terms
• You may cancel your account at any time through your account settings

5. Subscription and Payment

5.1 Pricing

• Monthly Plan: $19/month, billed monthly
• Annual Plan: $15/month, billed annually ($180/year)
• Prices are in US Dollars (USD)
• Prices are subject to change with 30 days notice

5.2 Billing

• Subscriptions automatically renew unless canceled
• You authorize us to charge your payment method on each renewal date
• Failed payments may result in service suspension
• You are responsible for any taxes or fees imposed by your jurisdiction

5.3 Free Trial

• New users receive a 30-day free trial
• You will not be charged during the trial period
• Cancel before trial ends to avoid charges
• Only one free trial per user/household
• We reserve the right to refuse free trials

5.4 Cancellation

• You may cancel your subscription at any time
• Cancellation takes effect at the end of your current billing period
• No refunds for partial months (see Refund Policy for exceptions)
• Access continues until the end of your paid period

6. Acceptable Use

You agree NOT to:

• Use the Service for any illegal purpose
• Violate any securities laws or regulations
• Share, resell, or redistribute data from the Service
• Use automated systems (bots, scrapers) without permission
• Reverse engineer or attempt to extract source code
• Interfere with or disrupt the Service's operation
• Use the Service to harass, abuse, or harm others
• Impersonate others or misrepresent your affiliation
• Upload malware, viruses, or malicious code
• Attempt to gain unauthorized access to any portion of the Service

7. Intellectual Property

• This includes but is not limited to: software, algorithms, text, graphics, logos, and trademarks
• Protected by copyright, trademark, and other intellectual property laws
• You may not copy, modify, distribute, or create derivative works

7.2 Limited License

• We grant you a limited, non-exclusive, non-transferable license to access and use the Service
• This license is for personal, non-commercial use only
• License terminates upon account cancellation or violation of Terms

7.3 User Content

• You retain ownership of any notes, watchlists, or content you create
• You grant us a license to store and display this content as necessary to provide the Service

8. Data and Accuracy

8.1 Data Sources

• We obtain data from third-party providers and public sources
• We do not generate or verify the underlying market data

8.2 No Warranty of Accuracy

• While we strive for accuracy, we do not guarantee data accuracy, completeness, or timeliness
• Data may contain errors, delays, or omissions
• Real-time data may be delayed by 15 minutes or more
• You should verify all data independently before making trading decisions

8.3 Service Availability

• We aim for 99.9% uptime but do not guarantee uninterrupted service
• Service may be unavailable due to maintenance, technical issues, or factors beyond our control
• We are not liable for any losses resulting from service unavailability

9. Third-Party Links and Services

• Our Service may contain links to third-party websites or services
• We do not endorse or assume responsibility for third-party content
• Your interactions with third parties are solely between you and them
• We are not liable for any loss or damage from third-party services

10. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy, reliability, or completeness of data
• Uninterrupted or error-free operation
• Results or outcomes from using the Service

WE EXPLICITLY DISCLAIM ANY WARRANTY THAT:

• The Service will meet your requirements
• Data will be accurate or current
• Defects will be corrected
• The Service is free of viruses or harmful components

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

IN NO EVENT SHALL QUANTVEC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:

• Trading Losses: Any trading losses, investment losses, or financial damages resulting from your use of the Service
• Indirect Damages: Indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption
• Data Errors: Damages resulting from inaccurate, incomplete, delayed, or omitted data
• Service Interruption: Damages resulting from service downtime, interruptions, or technical failures

EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Maximum Liability: Our total liability to you for all claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless Quantvec and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another
• Your trading or investment activities
• Any content you submit to the Service

13. Modifications to Service and Terms

13.1 Service Changes

• We reserve the right to modify or discontinue the Service at any time
• We will provide reasonable notice of material changes when possible
• Continued use after changes constitutes acceptance

• We may modify these Terms at any time
• We will notify you of material changes via email or Service notice
• Changes become effective 30 days after notification
• Continued use after changes constitutes acceptance
• If you disagree with changes, cancel your subscription before they take effect

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law provisions.

15.2 Jurisdiction

You agree to submit to the exclusive jurisdiction of courts in India for any disputes arising from these Terms or the Service.
